- [F1]As of April 27, 2010, the effective time of the merger contemplated by the Agreement and Plan of Merger, dated March 22, 2010, among Techwell, Inc. ("Techwell") , Intersil Corporation and Navajo Merger Sub, Inc., all options to purchase common stock of Techwell held by Mr. Kozato were fully vested and exercisable. These options were canceled in the merger in exchange for a cash payment representing the difference between the exercise price of the option and the market value of the underlying Techwell common stock on the effective date of the merger ($18.50 per share).
