ITEM 1.01. Entry into a Material Definitive Agreement.

On September 28, 2010, Pinnacle Gas Resources, Inc., Powder Holdings, LLC, and Powder Acquisition Co. entered into an agreement to amend the Agreement and Plan of Merger previously executed on February 23, 2010 (“Merger Agreement”) by extending the Outside Date, as defined in Section 7.1(b)(i), from August 23, 2010 to October 29, 2010. The Merger Agreement was previously filed by the Company with its Form 8-K report on February 26, 2010.
