Item 1.01. Entry into a Material Definitive Agreement.

On December 23, 2010, InfoLogix, Inc. (the “Company”) and its subsidiaries (collectively, the “Borrowers”) entered into Amendment No. 5 (“Amendment No. 5”) to the Amended and Restated Loan and Security Agreement dated November 20, 2009, as amended (the “Loan Agreement”) with Hercules Technology Growth Capital, Inc. (“Hercules”). Pursuant to Amendment No. 5, the maximum loan amount available under the revolving credit facility provided under the Loan Agreement was increased from $12,000,000 to $12,317,322.

The description of the Loan Agreement and Amendment No. 5 does not purport to be complete and is qualified by reference to the Loan Agreement, Amendment No. 1 dated February 19, 2010, Amendment No. 2 dated April 6, 2010, Amendment No. 3 dated June 25, 2010, Amendment No. 4 dated October 28, 2010, Amendment No. 5 and the Amended and Restated Revolving Note which are attached to this report as Exhibits 4.1, 4.2, 4.3, 4.4, 4.5, 4.6 and 4.7, respectively, and incorporated herein by reference.
