- [F1]On February 1, 2011, the Reporting Person filed a Form 3 reporting, among other things, that on August 25, 2010, he was granted a performance-based stock option to purchase a maximum of 58,950 shares of common stock. On March 24, 2011, the Compensation Committee approved the achievement against target for each of the 2010 performance metrics resulting in 52,536 shares being achieved. The shares subject to the stock option vest in equal monthly installments over three years commencing on January 1, 2011. This Form 4 is being filed solely to report the status of the stock option, previously reported, as a result of the achievement of the performance criteria.
