Item 8.01. Other Events.

On April 14, 2011, a Scottish court ordered that Waste 2 Energy Engineering Limited, one of the subsidiaries of Waste2Energy Holdings, Inc. should be wound up and that an interim liquidator will be appointed to Waste 2 Energy Engineering Limited.
