Item 1.01 Entry into a Material Definitive Agreement.

On April 18, 2011, Dr. Michael T. Flavin, Chairman and Chief Executive Officer of Advanced Life Sciences Holdings, Inc. (the “Company”), advanced to the Company $63,000 in cash in order to assist the Company in satisfying certain working capital obligations. The Company intends to repay this advance to Dr. Flavin as soon as reasonably practicable.
