- [F1]On June 30, 2011, the reporting person entered into a Contribution and Assumption Agreement (the "Contribution Agreement") with Terra Capital, Inc. ("Terra Capital"), a Delaware corporation, and Terra LP Holdings LLC ("LP Holdings"), a Delaware limited liability company. LP Holdings is a wholly owned subsidiary of the reporting person and the reporting person is a wholly owned subsidiary of Terra Capital. Pursuant to the Contribution Agreement, (i) the reporting person contributed 1,707,172 Common Units to LP Holdings and (ii) Terra Capital contributed, on behalf of the reporting person, 2,716,600 Common Units to the reporting person. The contributions by the reporting person and Terra Capital were made as contributions to LP Holdings' capital.
