Item 8.01 Other Information.

On August 22, 2011, Cephalon, Inc. (the “Company”) issued a press release announcing that the Company has given notice of an anticipated fundamental change to holders of the Company’s 2.50% Convertible Senior Subordinated Notes due 2014 and 2.00% Convertible Senior Subordinated Notes due 2015 in respect of the previously announced merger of the Company with a wholly-owned subsidiary of Teva Pharmaceutical Industries Ltd., which is expected to become effective in October 2011. The Company hereby incorporates by reference the press release dated August 22, 2011, attached hereto as Exhibit 99.1 and made a part of this Item 8.01.
