- [F1]Prior to the date of this report, LG Propylene LLC ("LGP") was the record holder of 1,100,000 common units representing limited partner interests in PetroLogistics LP (the "Partnership"). In addition, LGP has the right to appoint six members of the ten-member board of managers of PL Manufacturing LLC ("Manufacturing"), the sole member of Propylene Holdings LLC ("Holdings"), which was the record holder of 136,125,000 Common Units prior to the date of this report. Through his control over a series of affiliated investment funds, the Reporting Person may be deemed to beneficially own the Common Units held of record by LGP, Manufacturing and Holdings. The Reporting Person disclaims beneficial ownership of such Common Units, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for the purpose of Section 16 or for any other purpose, except to the extent of his pecuniary interest therein.
- [F2]On May 9, 2012, Holdings sold 33,500,000 Common Units in connection with the Partnership's initial public offering at a price of $17.00 per Common Unit.
