- [F1]John P. Rochon is the sole owner of John Rochon Management, Inc. ("JRM"), the sole general partner of Rochon Capital Partners, Ltd. (the "Partnership"), and may therefore be deemed to have beneficial ownership of all of the shares of common stock of Computer Vision Systems Laboratories, Corp. (the "Issuer") owned by JRM and the Partnership. The Partnership distributed, without consideration, to its sole general partner and all of its limited partners, pro rata, an aggregate 75,000,000 shares of the Issuer's common stock.
- [F2]As a result of the Partnership's distribution, John P. Rochon directly received 59,250,000 shares of the Issuer's common stock.
- [F3]As a result of the Partnership's distribution, JRM directly received 750,000 shares of the Issuer's common stock, and John P. Rochon's wife directly received 15,000,000 shares of the Issuer's common stock. John P. Rochon may be deemed a beneficial owner of all of such shares because he is the sole owner of JRM and the spouse of the limited partner who received shares.
- [F4]Of the shares of the Issuer's common stock received directly from the Partnership's distribution, John P. Rochon transferred by gift (i) 19,750,000 shares to The Heidi Rochon Hafer 2010 Dynasty Trust (the "Hafer Trust"), (ii) 19,750,000 shares to The Lauren Rochon Eidsvig 2010 Dynasty Trust (the "Eidsvig Trust"), and (iii) 19,750,000 shares to The William John Philip Rochon 2010 Dynasty Trust (the "Rochon Trust").
- [F5]Of the shares of the Issuer's common stock received directly from the Partnership's distribution, Donna Rochon, John P. Rochon's wife, transferred by gift 5,000,000 shares to each of the Hafer Trust, the Eidsvig Trust, and the Rochon Trust.
- [F6]John P. Rochon may be deemed to have beneficial ownership of all of the 357,086,034 shares of the Issuer's common stock owned by the Partnership and the 750,000 shares of the Issuer's common stock owned by JRM.
