Item 8.01 — Other Events.

On February 28, 2013, Huntsman Corporation (the “Company”) issued a press release announcing the pricing of $250 million in aggregate principal amount of additional 4.875% senior notes due 2020 (the “Notes”) issued by its wholly owned subsidiary, Huntsman International LLC (the “Issuer”). The Notes are being offered as additional notes under the indenture, dated as of November 19, 2012, among the Issuer, the guarantors party thereto and Wells Fargo Bank, National Association, as trustee, pursuant to which the Issuer issued $400 million in aggregate principal amount of its 4.875% Senior Notes due 2020 on November 19, 2012 (the “Prior Notes”). The Notes will be treated as a single series with, and will have the same terms as, the Prior Notes. The Notes will be issued at a price of 98.5% and carry an interest rate of 4.875% and will mature on November 15, 2020. The Company is filing a copy of the press release as Exhibit 99.1 hereto, which is incorporated by reference to this Item 8.01.
