- [F1]These restricted share units vest on July 22, 2014. Following the vesting of the restricted share units the Reporting Person will be issued common stock upon the earlier to occur of the following events or dates: (i) the Reporting Person's "separation from service" from the Issuer (within the meaning of Section 409A of the Code and the regulations issued thereunder) for any reason other than Cause (as defined in the Issuer's 2005 Incentive Award Plan); (ii) a change in control of the Issuer which also constitutes a "change in control event" within the meaning of Treasury Regulation Section 1.409A-3(i)(5); (iii) the Reporting Person's death; or (iv) June 21, 2015, upon which 50% of the common stock will be issued, and June 21, 2016, upon which remaining 50% will be issued, provided, however, that following the issuance on June 21, 2015, the remaining 50% will be issued immediately upon the occurrences of any of the forgoing events (i), (ii) or (iii) prior to June 21, 2016.
