Item 1.01 Entry into a Material Definitive Agreement.

On August 29, 2013, Antero Resources LLC (the “Company”), entered into an Eighth Amendment (the “Amendment”) to its Fourth Amended and Restated Credit Agreement with the lenders party thereto and J.P. Morgan Chase Bank, N.A., as administrative agent (the “Credit Agreement”). The Amendment provides for an increase of the borrowing base from $1.75 billion to $2.0 billion and an increase of lender commitments from $1.45 billion to $1.75 billion. In addition, the Amendment revises the definition of Change of Control to allow for the initial public offering of Antero Resources Corporation (“Antero Corp”). A copy of the Amendment is attached hereto as Exhibit 10.1 and incorporated herein by reference.

The information set forth under Item 1.01 concerning the Amendment is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Board of Directors (the “Board”) of Antero Corp appointed Richard W. Connor to the Board on August 28, 2013, to be effective September 1, 2013. There are no family relationships between Mr. Connor and any director or executive officer of the Company or Antero Corp, and Mr. Connor does not have a direct or indirect material interest in any transaction or arrangement in which the Company or Antero Corp is a participant.

On September 3, 2013, the Company issued two press releases, copies of which are attached hereto as Exhibit 99.1 and 99.2, announcing the appointment of Mr. Connor and the Amendment to the Credit Agreement, respectively. Exhibit 99.1 and 99.2 are being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, or otherwise subject to liabilities of that section.
