Item 7.01. Regulation FD Disclosure

On May 5, 2016, NBTY, Inc. (the “Company”) completed its offering of $1,075 million in aggregate principal amount of 7.625% Senior Notes due 2021 (the “Notes”) in a private placement (the “Offering”) exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The proceeds from the Offering, together with the proceeds from the Company’s new $1,330 million senior secured term loan facility, new £350 million senior secured term loan facility and borrowings under its new $400 million asset-based lending facility (collectively, the “new senior secured credit facilities”) and cash on hand, were applied to repay all outstanding borrowings under the Company’s existing senior secured credit facilities and pay related transaction fees and expenses. In addition, the Company used a portion of the proceeds to satisfy and discharge the indenture governing the Company’s $650 million outstanding aggregate principal amount of 9% Senior Notes due 2018, which will be redeemed in full on May 16, 2016, and to make a distribution to its parent company, Alphabet Holding Company, Inc. (“Holdings”), which in turn used such proceeds to satisfy and discharge the indenture governing Holdings’ $1,000 million outstanding aggregate principal amount of 7.75%/8.50% Contingent Cash Pay Senior Notes due 2017, which will be redeemed in full on May 16, 2016.
