No consideration was received by Mr. Jagodinski for the disposition. Also in connection with the Business Combination, Mr. Jagodinski resigned his position as a director of the company effective the closing date, and as such, Mr. Jagodinski is no longer subject to the reporting obligations under Section 16 with respect to the Issuer.
