No consideration was received by Dr. Rutledge for the disposition. Also in connection with the Business Combination, Dr. Rutledge resigned his position as a director of the company effective the closing date, and as such, Dr. Rutledge is no longer subject to the reporting obligations under Section 16 with respect to the Issuer.
