Carter Trust, and reflect (i) 17,134 Common Units received in a pro rata distribution from BGT Royalty Partners, LP to its partners and (ii) 207 Common Units received in a pro rata distribution from RCPTX Holdings Genpar, LLC to its members. Such Common Units were previously reported as being held indirectly by the reporting person through each of the foregoing entities but are now held directly by the Mattie K. Carter Trust. The reporting person is trustee, and his wife is beneficiary, of the Mattie K. Carter Trust.
- [F2]These Common Units are owned directly by several trusts, and reflect 14,440 Common Units received in a pro rata distribution from OMI Rochester Holdings I, L.P. to its limited partners. Such Common Units were previously reported as being held indirectly by the reporting person through these trusts, in their capacity as limited partners of OMI Rochester Holdings I, L.P. but are now held directly by such trusts. The reporting person is trustee of such trusts.
- [F3]Since the reporting person's last Form 4 filing, the reporting person resigned as trustee of several of the trusts for which the reporting person previously reported beneficial ownership of 43,323 Common Units, and is no longer required to report transactions or holdings of Common Units owned by such trusts. At no time did the reporting person have a pecuniary interest in such trusts or any Common Units held therein.
