Item 8.01 Other Events.

On February 22, 2018, the Company and First Financial Bancorp. (“First Financial”) issued a joint press release announcing the receipt of regulatory approval from the Board of Governors of the Federal Reserve System and the Ohio Division of Financial Institutions for the proposed merger of the Company with and into First Financial. The joint press release, which also announces the closing date of the proposed merger, is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
