Item 2.02 Results of Operations and Financial Condition.

On February 1, 2019, Beneficial Bancorp, Inc. (the “Company”), the holding company for Beneficial Bank, issued a press release announcing its financial results for the quarter and year ended December 31, 2018. For more information, reference is made to the Company’s press release dated February 1, 2019, a copy of which is attached to this Report as Exhibit 99.1 and is furnished herewith.

On January 31, 2018, the Company declared a cash dividend of 6 cents per share, payable on or after February 21, 2019, to common shareholders of record at the close of business on February 11, 2019.
