(the "Sponsor"), acquired pursuant to a subscription agreement by and between the Sponsor and the Company. The ordinary shares owned by the reporting person include up to 450,000 shares that are subject to forfeiture in the event the underwriters of the initial public offering of the Company's securities do not exercise in full their over-allotment option as described in the Company's registration statement.
- [F2]Galileo Founders GP Corp. (the "Sponsor GP") is the general partner of the Sponsor and has voting and investment discretion with respect to the ordinary shares held by the Sponsor. Luca Giacometti, the Company's Chairman of the Board of Directors and Chief Executive Officer, directly and indirectly through an entity he controls (Gaburo, SRL), and Alberto Recchi, the Company's Chief Financial Officer and Director, through an entity he controls (Ampla Capital, LLC), are the sole directors and officers of the Sponsor GP. As such, the Sponsor GP and each of Messrs. Giacometti and Recchi may be deemed to have beneficial ownership of such ordinary shares held directly by the Sponsor. Each such person or entity disclaims any beneficial ownership of the reported ordinary shares other than to the extent of any pecuniary interest they may have therein, directly or indirectly.
