The shares held by the sponsor are beneficially owned by Mr. Liu, the issuer's Chairman, and Jianmin Yu, the issuer's chief financial officer, who are the managing members of the sponsor and have voting and dispositive power over the shares held by the sponsor. These shares include up to an aggregate of 150,000 ordinary shares subject to forfeiture by the sponsor to the extent that the underwriters' over-allotment option is not exercised in full.
