Zdolshek as a result of his position as Chief Executive Officer of the Manager or (ii) IDR Holdings, LLC ("IDR Holdings"), the owner of a majority of the outstanding equity of the Manager. Each of Mr. Zdolshek and IDR Holdings disclaims beneficial ownership of the securities held by the Manager except to the extent of his or its pecuniary interest therein.
