- [F1]On February 13, 2020, the Issuer and certain of its subsidiaries filed voluntary petitions for reorganization in the United States Bankruptcy Court for the Southern District of New York (the "Bankruptcy Court") seeking relief under Chapter 11 of title 11 of the United States Code. On August 4, 2020, the Bankruptcy Court entered an order (the "Sale Order") approving the Asset Purchase Agreement, pursuant to which SIJ Holdings, LLC agreed to acquire substantially all of the Issuer's assets. On September 23, 2020, the Bankruptcy Court confirmed the Issuer's plan of distribution (the "Plan of Distribution"). The Plan of Distribution became effective on September 30, 2020 (the "Effective Date"). Holders of the Issuer's Class A Common Stock and Class B Common Stock did not receive any distributions under the Plan of Distribution.
- [F2]On the Effective Date, all outstanding shares of the Issuer's Class A Common Stock were cancelled and extinguished.
