The ordinary shares owned by the reporting person include up to 375,000 shares that are subject to forfeiture in the event the underwriters of the initial public offering of the Company's securities do not exercise in full their over-allotment option as described in the Company's registration statement.
- [F2]ATAC Holdings LLC (the "Sponsor GP") is the general partner of the Sponsor and has voting and investment discretion with respect to the ordinary shares held by the Sponsor. ATAC Holdings LLC is controlled by Matthew Mathison, Joseph Drysdale and Jeffrey Brownlow. As such, the Sponsor GP and each of Messrs. Mathison, Drysdale, and Brownlow may be deemed to have beneficial ownership of such ordinary shares held directly by the Sponsor. Each such person or entity disclaims any beneficial ownership of the reported ordinary shares other than to the extent of any pecuniary interest they may have therein, directly or indirectly.
