Each Private Unit consists of one share of common stock and one-half of one warrant. The reported shares are the 470,000 shares of common stock included in such Private Units. The warrants included in the Private Units will become exercisable 30 days after the completion of an initial business combination by the Company and will expire on the fifth anniversary of the completion of an initial business combination, or earlier upon redemption or liquidation.
