Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 4, 2021, Biosynergy, Inc. (“Biosynergy”) announced that Laurence C. Mead resigned from his position on the Board of Directors effective May 31, 2021. Mr. Mead will continue to serve as the Company's Chief Operating Officer, Chief Financial Officer, Chief Accounting Officer and Treasurer. Mr. Mead’s resignation is not due to any disagreement with Biosynergy.
