IMC Holdings, L.P, recevied 10,467,023 shares of CareMax, Inc. as partial consideration for equity interests of IMC in connection with the Business Combination, with 55,000 shares (the "Escrow Shares") being placed in escrow and subject to forfeiture in connection with post-closing adjustment obligations of IMC related to the Business Combination. Mr. Lamoreaux has a pecuniary interest in the shares reported above, and disclaims beneficial ownership of any other shares held by IMC Holding L.P.
