- [F1]On May 27, 2022, the Reporting Persons filed a Form 4 which inadvertently reported that the Reporting Persons were ten percent owners of Playa Hotels & Resorts N.V. (the "Issuer"). The Form 4 is amended to reflect that both Reporting Persons may be deemed to be "directors by deputization" of the Issuer, but are not 10% owners. Mahmood Khimji ("Khimji") is Chairman of Sagicor Financial Company Ltd. ("New Sagicor"). Pursuant to the Shareholder Agreement dated as of May 31, 2018 (the "2018 Shareholder Agreement"), among the Issuer, New Sagicor and its affiliates (collectively "Sagicor"), Sagicor designated Khimji for election to the Issuer's board of directors, and he was elected to serve a one-year term on May 12, 2022. As a result, the Reporting Persons may be deemed to be "directors by deputization" of the Issuer solely for purposes of Section 16 of the Securities Exchange Act of 1934, as amended.
