In connection with the Issuer's merger with and into a subsidiary of Chicken Soup for the Soul Entertainment, Inc. ("CSSE") pursuant to the Merger Agreement, dated as of May 10, 2022, as amended from time to time, by and among the Issuer, CSSE, and the other parties thereto, vested and unvested Issuer RSUs were automatically cancelled and converted into the right to receive a number of shares of Class A common stock, par value $0.0001, of CSSE equal to 0.087 multiplied by the number of Issuer RSUs held immediately prior to the effective time of the merger, rounded up to the nearest whole share, less applicable withholding taxes.
