(the "Issuer"), Mrs. Daseke sold 34,299 shares of common stock and The Walden Group, Inc. sold 5,071,256 shares of common stock, in each case to the Issuer for $6.00 in cash per share. Also on November 14, 2022, The Walden Group, Inc. sold to the Issuer 11,266,058 shares of common stock in exchange for (i) 20,000 shares of Series B-1 Perpetual Redeemable Preferred Stock, par value $0.0001 per share, of the Issuer, with an aggregate initial liquidation preference of $20,000,000, and (ii) 47,597 shares of Series B-2 Perpetual Redeemable Preferred Stock, par value $0.0001 per share, of the Issuer, with an aggregate initial liquidation preference of $47,597,000.
