SECTION 7.01 – REGULATION FD

Item 7.01 Regulation FD Disclosure

On December 7, 2022, the Company issued a news release announcing that LexaGene intends to amend the exercise price of certain common share purchase warrants originally issued on February 7 and February 18, 2022 to Meridian LGH Holdings, LLC and expiry five years after the date of issue. Amendment of the Warrants is subject to the approval of the TSX Venture Exchange and receipt of the consent of Meridian. A copy of the news release is furnished as Exhibit 99.1 hereto.
