(following the business combination, the "Issuer") and AerSale Aviation, Inc. (f/k/a AerSale Corp.) ("AerSale Aviation"), on September 8, 2020, the Reporting Person entered into an agreement with certain equityholders of the AerSale Aviation pursuant to which the Reporting Person acquired the right to purchase up to 58,597 shares of Common Stock in exchange for agreeing to reduce the cash consideration received by the Reporting Person in the business combination.
