Item 8.01

Other Events.

On September 11, 2023, The Growth for Good Acquisition Corporation (“G4G”) announced that, in light of the amount of redemption requests G4G has received in connection with its extraordinary general meeting of shareholders (the “Meeting”), G4G and Zero Nox, Inc. (“ZeroNox”) are in discussions regarding a potential termination of the Agreement and Plan of Merger, dated as of March 7, 2023 by and among G4G, G4G Merger Sub Inc. and ZeroNox relating to the business combination (the “Merger Agreement”). Therefore, G4G reconvened and then, following the passing of an ordinary resolution by shareholders, further adjourned without conducting any other business, the Meeting relating to the business combination pursuant to the Merger Agreement, and will reconvene such Meeting on September 12, 2023, at 3:00 p.m., Eastern Time with no change to the location or record date of the Meeting.
