- [F1]Represents a grant of restricted share units under the Intapp, Inc. 2021 Omnibus Incentive Plan to each of Christopher Gaffney and Derek Schoettle, each of whom are directors of Intapp, Inc. (the "Issuer"). Each restricted share unit represents a contingent right to receive one share of common stock of the Issuer. The securities issued to Mr. Gaffney and Mr. Schoettle may be deemed to be beneficially owned by Great Hill Equity Partners IV, LP pursuant to its amended and restated limited partnership agreements.
- [F2]Consists of (i) 16,136,294 shares of common stock held of record by Great Hill Equity Partners IV, LP ("GHEP IV"), (ii) 57,957 shares of common stock held of record by Great Hill Investors, LLC ("GHI LLC"), (iii) 22,009 shares of common stock held of record by Christopher Gaffney, and (iv) 22,009 shares of common stock held of record by Derek Schoettle. The shares of common stock held of record by Mr. Gaffney and Mr. Schoettle are beneficially owned by GHEP IV pursuant to its amended and restated limited partnership agreements.
- [F3]GHP IV, LLC ("GHP IV") is the general partner of Great Hill Partners GP IV, L.P. ("GP IV"), which is the general partner of GHEP IV. Voting and investment determinations with respect to the securities held of record by GHEP IV are made by the Managers of GHP IV. Voting and investment determinations with respect to the securities held of record by GHI LLC are made by the Managers of GHI LLC. As such, each of the foregoing entities, the Managers of GHP IV and the Managers of GHI LLC may be deemed to share beneficial ownership of the securities held of record by GHEP IV, GHI LLC, Mr. Gaffney and Mr. Schoettle. Each of them disclaims any such beneficial ownership except to the extent of their pecuniary interest therein.
