Each RSU represents the contingent right to receive one share of the Issuer's common stock. The RSUs shall vest and be settled in full on the earlier of (i) the first anniversary of the date of grant or (ii) the date of the Issuer's next annual meeting of stockholders, subject to Mr. Nagpal's continuous service to the Issuer through such date.
