("KDP"), the closing of which is subject to expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the "HSR Act"). The waiting period under the HSR Act expired at 11:59 p.m. Eastern Time on January 29, 2025.
