The number of RSUs is based on the methodology determined by the Company's compensation committee prior to the date of grant on February 18, 2025. The grant was confirmed by the Company's board of directors on April 1, 2025. Each RSU represents the right to receive one share of Common Stock, subject to adjustment as provided in the Award Agreement. The RSUs are scheduled to vest in accordance with the following schedule: 1/4th on the first anniversary of the grant date and 1/12th on each quarterly anniversary of the grant date thereafter, subject to continued employment by the reporting person.
