The shares of common stock, par value $0.0001 per share (the "Common Stock") of the issuer are beneficially owned both directly and indirectly, as outlined above and more fully described below, by Mr. Bradley. 300,000 shares of Common Stock of the issuer were transferred by EOS to a third party in connection with that certain Settlement Agreement and Release of all Claims, dated as of July 30, 2025, by and between the issuer, Mr. Bradley, and various other parties.
- [F2]An aggregate of 300,000 shares of Common Stock of the issuer were transferred by EOS to two separate third parties in connection with one Settlement Agreement and Release, dated as of July 31, 2025, by and between EOS, Mr. Bradley, and one of the third parties receiving shares of Common Stock.
- [F3]Mr. Bradley, as an officer and member of the board of directors of EOS, has the power to dispose of and the power to vote the shares of Common Stock beneficially owned by EOS. Mr. Bradley disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of such securities for purposes of Section 16 of the Securities Exchange Act of 1934 (the "Exchange Act") or for any other purposes.
