The shares of common stock, par value $0.0001 per share (the "Common Stock") of the issuer are beneficially owned both directly and indirectly, as outlined above and more fully described below, by Mr. Bradley. 1,000,000 shares of Common Stock of the issuer were transferred by EOS to a third party in connection with a services agreement, dated as of August 8, 2025 (the "Services Agreement"), by and between EOS and the services provider under the Services Agreement.
