On October 27, 2025, AtlasClear Holdings, Inc. (the “Company”) issued a press release announcing certain financial results of its wholly owned subsidiary Wilson-Davis & Co., Inc. as of and for the three months ended September 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
