Item 8.01. Other Events.

On December 5, 2025, the Board of Directors of IRADIMED CORPORATION declared a special cash dividend on the Company's outstanding common stock of $0.50 per share. The special dividend is payable on December 30, 2025, to shareholders of record at the close of business on December 17, 2025.
