Effective January 24, 2003, in conjunction with the restructuring of the Company's outstanding notes payable of $18,000,000, Ravich acquired in an arm's-length transaction 1,000,000 shares of the Company's Series A, 4% cumulative, non-convertible, redeemable preferred stock. The holder of the preferred stock option acquired the preferred stock option subject to all of the rights and obligations of the holder of the preferred stock.
