- [F1]The 2,223,228 shares were issued based upon a resolution of the Board of Directors dated July 17, 2003 which provided for the conversion by Mr. Greenfield and related parties of $100,000 of the principal (769,231 shares) and all of the accrued interrest of $99,546 as of May 31, 2003 (765,738 shares) on their loans to the Company together with all of Mr. Greenfield's accrued, unpaid salary of $89,475 as of May 31, 2003 into shares of the Company's restricted common stock. The conversion price was the closing price of a share of common stock on the OTC:BB at $.13 on July 16, 2003, the trading day immediately preceding the date of the resolution. The number of shares to be issued to Mr. Greenfield and related parties was not determined until all of the necessary calculations were completed by the Company's accountant on August 4, 2003.
