- [F1]Pursuant to the Assignment Agreement, dated December 12, 2007, between Proyectos Minero S.A. (formerly Recursos Maricunga S.A.) ("PMSA"), a company incorporated in Argentina and Constitution Mining Corp. ("CMIN") (the "Assignment Agreement"), CMIN acquired PMSA's right to explore and option to purchase certain mining properties in Argentina in exchange for certain consideration, including shares of CMIN. The Assignment Agreement was filed as Exhibit 10.1 to CMIN's Current Report on Form 8-K, dated as December 12, 2007, and is incorporated herein by reference.
- [F2]PMSA assigned its right to receive 175,000 of the 2,000,000 CMIN shares that were to be issued on March 15, 2009, pursuant to the Assignment Agreement to the Reporting Person in respect of past business development efforts. PMSA assigned its right to receive the remaining 1,825,000 CMIN shares that were to be issued on March 15, 2009, to other individuals and organizations. The March 15, 2009 payment of 2,000,000 CMIN shares was subsequently deferred until April 10, 2009. The price reported above represents the closing price of CMIN shares on April 13, 2009, the first trading day following the authorization of payment.
- [F3]Pursuant to the Issuer's Stock Incentive Plan, the Issuer granted the Reporting Person a vesting option to acquire 500,000 shares of common stock at an exercise price of $1.00 per share; one-half (that is, with respect to 250,000 shares) vested on August 4, 2008, and the remaining half (with respect to the remaining 250,000 shares) vested on February 4, 2009.
