- [F1]The board of directors of the Issuer (the "Board") approved the issuance of these shares of restricted Common Stock (the "Grant") at a meeting of the Board on April 16, 2014, as compensation for Mr. Mollo's service as a director on the Board of the Issuer. The Grant was awarded to TM-07 Investments, LLC ("TM-07"), 100% of the ownership interests in which Mr. Mollo indirectly beneficially owns, pursuant to Mr. Mollo's instructions. 20,000 of the shares associated with the Grant have vested as of June 30, 2014 and the remaining shares will vest monthly (at the end of each month) at a rate of 3,333.33 per month.
