("New Vistas"), 73.36% of the ownership interests in which Mr. Mollo indirectly beneficially owns, of $100,000 in principal, plus all accrued but unpaid interest thereon, of a Convertible Secured Promissory Note with principal amount of $300,000 (convertible into the Issuer's Common Stock) (the "Original Note"), pursuant to an Assignment dated 08/01/2014 (the "Assignment"), in exchange for certain guaranty payments made on behalf of New Vistas by the transferees under the Assignment. Pursuant to the Assignment, the Original Note was cancelled, and a Convertible Secured Promissory Note with principal amount of $200,000 (convertible into the Issuer's Common Stock) was issued to New Vistas by Issuer.
