- [F1]On February 11, 2011, a Securities Purchase Agreement was entered into by and among the Issuer, the shareholders of the Issuer listed on Schedule A attached thereto (the "Sellers") and Silver Rock Capital Ltd. ("Silver Rock"), pursuant to which the Sellers sold certain shares of the Issuer's Common Stock that they owned to Silver Rock (the "Agreement"). TriPoint Capital Advisors, LLC ("TriPoint") was one of the Sellers. The Reporting Person, Mr. Taubman, holds a 30% indirect ownership interest in TriPoint and as such, is filing this form to report the sale pursuant to the Securities Purchase Agreement of 656,472 shares of Issuer common stock that TriPoint owned. On the same day of the Agreement, Mr. Taubman resigned as a member of the Issuer's board of directors and all officer positions he held.
