- [F1]Received in exchange for 18,288,033 units of membership interests in CapitalSource Holdings LLC in connection with the merger of a wholly owned subsidiary of CapitalSource Inc. with and into CapitalSource Holdings LLC (the "Merger"). In the Merger, the units of membership interests in CapitalSource Holdings LLC were exchanged on a one-for-one basis with shares of common stock of CapitalSource Inc. The merger became effective after the effective time of CapitalSource Inc.'s initial public offering. The initial public offering price of the common stock of CapitalSource Inc. was $14.50. The acquisition of the common stock of CapitalSource Inc. was exempt from Section 16(b) under Rule 16b-7 and other SEC rules.
- [F2]The reporting person is a Managing Director of Madison Dearborn Partners, LLC which is the ultimate general partner of the entities that hold these securities. This amount consists of 17,880,021 shares held directly by Madison Dearborn Capital Partners III, L.P., 397,014 shares held directly by Madison Dearborn Special Equity III, L.P. and 10,998 shares held directly by Special Advisors Fund I, LLC. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
- [F3]The option vests in three equal annual installments on August 8, 2004, 2005 and 2006.
