In the Merger, the units of membership interests in CapitalSource Holdings LLC were exchanged on a one-for-one basis with shares of common stock of CapitalSource Inc. The merger became effective after the effective time of CapitalSource Inc.'s initial public offering. The initial public offering price of the common stock of CapitalSource Inc. was $14.50. The acquisition of the common stock of CapitalSource Inc. was exempt from Section 16(b) under Rule 16b-7 and other SEC rules.
