The forfeiture reflects the policies of HI Holdings Playa B.V., an affiliate of Hyatt Hotels Corporation, which appointed the reporting person to the Issuer's board of directors pursuant to that certain Shareholder Agreement, dated as of March 10, 2017, described in the Company's Current Report on Form 8-K filed on March 14, 2017. The Shares were transferred back to the Company to be held as treasury shares.
